Terms of Service

By accessing and using STAIM's website and services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our services.

STAIM CORP provides AI-powered services including:

• AI Creative Lab — branding, design, content creation, and media production
• AI Automation Hub — workflow optimization, process automation, and intelligent systems
• AI Software Studio — custom applications, platforms, and mobile development

Service scope, deliverables, and timelines are defined in individual project agreements.

Clients agree to:

• Provide accurate and complete information for project execution
• Cooperate in good faith during project execution and provide timely feedback
• Make timely payments according to agreed terms
• Respect intellectual property rights of all parties
• Use our services in compliance with all applicable laws and regulations
• Maintain confidentiality of any proprietary information shared during the engagement

Payment terms are specified in individual project agreements. Our standard terms include:

• 50% payment upfront upon project agreement signing
• 50% upon project completion and final delivery
• For subscription services: monthly or annual billing as agreed

Late payments may incur additional fees as outlined in the project agreement. All prices are in CAD unless otherwise specified.

Upon full payment, clients receive ownership of custom work created specifically for their project. STAIM retains rights to:

• General methodologies, frameworks, and tools developed independently
• Pre-existing intellectual property and proprietary AI models
• The right to reference the project in our portfolio (unless otherwise agreed)

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This obligation survives termination of the agreement for a period of two (2) years.

STAIM's total liability is limited to the amount paid by the client for the specific services giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities.

Either party may terminate services with 14 days written notice. Upon termination:

• Payment obligations for work completed remain in effect
• Client receives all deliverables completed to date
• Both parties return or destroy confidential materials

These terms are governed by the laws of the Province of Ontario, Canada. Any disputes arising from these terms shall be resolved in the courts of Ontario.
